Custom Trades CRM — Terms of Service

1. Acceptance of Terms

By creating an account or using Custom Trades CRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and protect your information. By continuing to use Custom Trades CRM, you acknowledge that you have read and understood both documents.

By signing up, registering, or otherwise using the Service, you become a "User" of Custom Trades CRM ("User").

2. Eligibility

3. Description of Service

Custom Trades CRM is a web and mobile customer relationship management application designed for trade professionals, including electricians, plumbers, contractors, and related service businesses. The Service helps businesses manage customers, jobs, scheduling, invoicing, inventory, and other operational tasks but does not provide financial, investment, tax, or legal advice.

4. Account Registration and Subscription

• Users must register and agree to a recurring subscription plan to access the Service.
• Each new subscription will automatically renew unless cancelled.
• You can review available plans and pricing anytime by visiting our home page and clicking Pricing.
• You may cancel your subscription at any time before renewal to avoid further charges.
• By providing payment information, you authorize Oak Harbor Tech LLC to charge applicable subscription fees using your selected payment method.

5. User Responsibilities and Data Accuracy

• You are solely responsible for all information and data entered into Custom Trades CRM.
• Oak Harbor Tech LLC does not review, verify, or guarantee the accuracy or completeness of user-entered data.
• The Service is provided for informational and business management purposes only. No warranty or assurance of business outcomes, performance, or success is made or implied.

6. Security and Data Protection

• Oak Harbor Tech LLC prioritizes data security and employs reasonable safeguards consistent with industry best practices.
• However, we cannot guarantee complete security of your data.
• The Service relies on third-party software, hosting, and cloud providers; therefore Oak Harbor Tech LLC is not liable for breaches, outages, or incidents beyond its reasonable control.
• By using the Service, you acknowledge and accept these risks.

6A. Data Usage and Analytics

Oak Harbor Tech LLC reserves the right to access, collect, log, query, analyze, and aggregate data generated through the Service for the purposes of operating, maintaining, improving, and understanding the usage of the Service. This may include monitoring performance, troubleshooting issues, detecting fraud or abuse, and developing analytical or statistical insights about overall usage patterns.

Where practicable, Oak Harbor Tech LLC will first attempt to anonymize or aggregate user data before using it for such purposes. All such activities will be conducted in accordance with our Privacy Policy. 6B. Artificial Intelligence, Automated Agents, and Related Technologies

Oak Harbor Tech LLC may use technologies — including but not limited to Artificial Intelligence (AI), Large Language Models (LLMs), and Automated Agents — to develop, enhance, or improve the Service, provide internal analytics, communicate with Users, or support experimental and future features. These technologies may be operated by or integrated with external service providers.

Oak Harbor Tech LLC will never share or intentionally expose personally identifiable information (PII) of any User with or to such technologies. When providing AI-powered features that allow Users to receive insights, recommendations, or other responses, Oak Harbor Tech LLC may use User data that is not linked to any personally identifiable information to support those interactions.

All outputs, insights, or recommendations generated through AI, LLMs, or Automated Agents are provided solely for informational purposes. Users understand and agree that all business, operational, or other decisions remain their own responsibility. Oak Harbor Tech LLC makes no guarantee, express or implied, that any AI- or Automated Agent-generated information will lead to specific results or outcomes.

7. Prohibited Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose.
• Attempt to reverse-engineer, copy, or resell the Service.
• Interfere with other users' access or the integrity of the Service.
• Use the Service in violation of any applicable laws.

8. Intellectual Property

All content, logos, code, and design elements of Custom Trades CRM are owned or licensed by Oak Harbor Tech LLC. You are granted a limited, non-exclusive, non-transferable right to use the Service for business purposes only.

9. Disclaimers and Limitation of Liability

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• Oak Harbor Tech LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Oak Harbor Tech LLC and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from use of or inability to use the Service.
• Your sole and exclusive remedy for dissatisfaction with the Service is to discontinue use.

10. Indemnification

You agree to indemnify and hold harmless Oak Harbor Tech LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

Oak Harbor Tech LLC may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Arbitration and Governing Law

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles. All disputes shall be resolved by binding arbitration in Michigan, administered under the rules of the American Arbitration Association. You waive the right to a jury trial or to participate in a class action.

13. Changes to the Terms

Oak Harbor Tech LLC may modify, amend, or update these Terms at any time, at its sole discretion. Any material changes will be posted on the Service or communicated through reasonable means such as email.

Users are responsible for reviewing the Terms periodically for updates. Continued use of the Service after revised Terms are posted constitutes acceptance of those changes and agreement to be bound by the most current version.

15. Customer Service and Support

The Custom Trades CRM Service is designed as a self-service tool. Users agree that they are responsible for initially attempting to resolve any questions, configuration issues, or other difficulties through self-help resources. These include reviewing available documentation or knowledge-base materials, exploring in-app help or FAQs, troubleshooting through trial and error, or using any automated or self-help chat features that may be available.

If a User cannot resolve an issue through these methods, they may contact email support. Oak Harbor Tech LLC will make reasonable efforts to respond to such inquiries, but response times may vary depending on volume and complexity.

Phone support is not provided. Users understand and agree that Oak Harbor Tech LLC's customer support obligations are limited to the methods described above.

16. Severability

If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable portion shall be construed, to the greatest extent possible, to reflect the original intent of the parties, and failure of any specific provision shall not affect the validity of the remainder of this Agreement.
